a. SignOn ICT Training + (hereinafter referred to as: SignOn) is an educational service provider, i.e. a company that organizes and facilitates (ICT) training.
b. Client: the natural or legal person for whom (ICT) training is organized and/or facilitated on the basis of these conditions.
c. Assignment: Assignment means the agreement concluded between SignOn and the client with all related documents and appendices, in which it is agreed that SignOn will provide a certain training.
d. Order confirmation: a form on which SignOn, in consultation with the Client, gives a description of the work and services to be performed by SignOn that are related to the order.
a. General terms and conditions apply to all offers, work, quotations and agreements for training, training and education (hereinafter referred to as training) between SignOn and the clients or their legal successors.
b. Order acceptance
SignOn only accepts those assignments for which it has the qualifications. The performers to be deployed in an assignment on behalf of SignOn must be able to work effectively on that assignment through knowledge, experience and personal characteristics. The client may, in consultation with SignOn, request employees other than those initially charged with the execution of the assignment, provided that this does not come at the expense of quality and continuity.
c. SignOn must create such circumstances that all persons at the client who must cooperate in the execution of the assignment clearly know what that cooperation entails.
d. Realization of the assignment
Before accepting the order, SignOn commits to collect all necessary information that is reasonably necessary for proper order performance. The client must have provided to the best of his knowledge all information for the design and execution of the assignment.
e. The client and SignOn can thus form a picture of the training issue, the scope of the training project and the possible results thereof. If costs are associated with the preliminary investigation, SignOn will agree the conditions with the client in advance.
a. SignOn declares at the time of execution to have all the facilities required for the proper execution of the assignment. When providing training at the client’s location, agreements are made between SignOn and the client about the conditions that the facilities at the location in question must meet.
b. If, during the implementation of the training courses, it appears that the agreed conditions have not been met and the quality of the training can no longer be guaranteed by SignOn, SignOn reserves the right not to give or discontinue the training.
Liability for damage caused by or in connection with the execution of the assignment is limited to the amount that is paid out under the liability insurance of SignOn in the case in question.
SignOn has the right to withdraw from an assignment if a good execution of the assignment is obstructed on the grounds of circumstances that withdraw from its influence. If SignOn proceeds to early termination, SignOn is entitled to compensation in connection with costs already incurred and damage to be suffered and loss of capacity to be demonstrated. SignOn will not pay compensation.
6a. Cancellation or relocation by the client of the participation of one or more students, or of the hire of a teacher or a classroom is possible up to 28 days before the start of the training. For cancellations between 28 and 7 days before the start of the first training day, 50% of the training fee is due. For cancellations within 7 days before the start of the training, the full training fee is due.
6b. In the event of cancellation by the client, the client does not automatically have the right to replace participation in a training course, or to hire a room or teacher at another time. Moving the order to another moment counts as cancellation of the order placed. Cancellation by the client must be in writing.
SignOn strives to ensure that a planned training always takes place. If, due to unforeseen circumstances, including insufficient participants, a training course has to be cancelled or moved, SignOn is not obliged to pay any compensation.
SignOn will observe confidentiality with regard to the use of the confidential information provided or made known to him in the training relationship.
In the case of multi-year assignments, an interim change in the level of wages and costs that necessitates a rate adjustment can be charged by SignOn, in accordance with the CBS-index regulation wages for other services such as the last published by Statistics Netherlands.
None of the parties involved may, during the duration of the assignment (execution) or within 1 year after termination of the assignment (execution), employ, hire or negotiate with the personnel of the other party about entering or hiring other than in consultation with the other party. In the event of a violation of this provision, the injured party is entitled to recover the damage suffered from the other party.
Models, techniques, instruments and training materials, including software, that have been used for the execution of the assignment and are included in the training are and remain the property of SignOn. Publication can therefore only take place after obtaining written permission from SignOn. It is forbidden to copy or edit or modify the models, techniques, instruments and training materials, including software from SignOn, in whole or in part, without written permission from SignOn.
All materials used in the training (including software) are protected by copyright and may therefore not be reproduced in any form without the express permission of the author(s). It is not permitted to hand over or use material in whole or in part to third parties or to have it used for teaching in any form whatsoever.
SignOn applies, unless otherwise agreed in the order confirmation, a payment period of 14 days from the invoice date. If the client is in default or otherwise fails to meet one or more obligations, then all reasonable costs for obtaining the amount that has not yet been met will be borne by the client, both judicial and extrajudicial. These costs amount to at least 15% with a minimum of € 75.
Disputes between the client and SignOn will be settled by the Amsterdam District Court or by the competent court according to the law. Only Dutch law applies to all agreements with SignOn.
